Terms & Conditions

These terms and conditions apply to all services provided by AgenticDevelopment, operated by Veniatis (hereinafter: “we”, “our”, or “AgenticDevelopment”). By engaging our services, you agree to these terms.

AgenticDevelopment provides software development services including, but not limited to: website design and development, web application development, enterprise software development, hosting, maintenance, and technical support. The specific scope, deliverables, and timeline for each project are defined in a separate project agreement.

We offer starting entrepreneurs a complete, professional website for a fixed price of €200. This package includes design, development, first-year hosting, and basic support. The deliverable is a fully functional website with full ownership transferred to the client upon completion and payment. Additional services beyond the starter package scope are available at our standard rates.

All quotations are without obligation unless explicitly stated otherwise. An agreement is formed when both parties sign a project agreement, or when the client provides written confirmation (including email) accepting a quotation. For the starter package, the agreement is formed upon receipt of payment.

Upon full payment, the client receives full ownership of all custom-developed code, designs, and content created specifically for their project. We retain the right to use general techniques, methods, and non-client-specific knowledge gained during the project. We reserve the right to mention the project in our portfolio (showcase) unless the client explicitly requests otherwise in writing. Open-source components used in the project remain subject to their respective licences.

Invoices are due within 14 days of the invoice date, unless otherwise agreed in writing. For projects exceeding €2,000, we may invoice in instalments tied to project milestones. The starter package (€200) is payable in full before development begins. Late payments are subject to the statutory commercial interest rate under Dutch law. We reserve the right to suspend services in the event of overdue payment.

Where hosting is provided by AgenticDevelopment, we ensure reasonable uptime (target: 99.5%) and regular security updates. We are not liable for downtime caused by factors beyond our control, including but not limited to: upstream provider outages, force majeure, and client-initiated changes. The client is responsible for maintaining up-to-date contact information. Hosting services may be terminated by either party with 30 days’ written notice.

The client is responsible for providing timely and accurate content, materials, and feedback as required for the project. Delays caused by the client may affect the delivery timeline. The client ensures that all materials provided to us do not infringe on third-party intellectual property rights.

Our total liability for any claim arising from or related to our services is limited to the amount paid by the client for the specific service giving rise to the claim. We are not liable for indirect, consequential, or incidental damages, including but not limited to: lost profits, lost data, business interruption, or reputational damage. This limitation does not apply to damages caused by wilful misconduct or gross negligence.

Both parties agree to treat all confidential information received during the course of the engagement as strictly confidential. This obligation survives the termination of the agreement. Confidential information does not include information that is publicly available or independently developed.

Either party may terminate a project agreement with 30 days’ written notice. In the event of termination, the client is liable for payment of all work completed up to the date of termination. We will deliver all completed work product upon receipt of outstanding payment.

These terms and all agreements between AgenticDevelopment and the client are governed by Dutch law. Any disputes arising from these terms or related agreements shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the competent court in the Netherlands.

We reserve the right to amend these terms and conditions. Material changes will be communicated to active clients at least 30 days before they take effect. Continued use of our services after the effective date constitutes acceptance of the amended terms.
